This allocation is reflected in the pricing offered by Remine to End User and is an essential element of the basis of the bargain between the parties. Each of these provisions is severable from and independent of all other provisions of this agreement.

Remine Indemnification

Remine shall defend, indemnify and hold End User harmless against any loss, damage or costs (including reasonable attorneys’ fees) in connection with claims, demands, suits, or proceedings (“Claims”) made or brought against End User by a third party alleging that the Service, or use of the Service as contemplated hereunder, infringes a copyright, a U.S. patent issued as of the date of final execution of this Agreement, or a trademark of a third party or involves the misappropriation of any trade secret of a third party. Remine shall not be required to indemnify End User in the event of: (i) modification of the Service by End User in conflict with End User’s obligations or as a result of any prohibited activity as set forth herein to the extent that the infringement or misappropriation would not have occurred but for such modification; ii) use of the Service in combination with any other product or service not provided by Remine to the extent that the infringement or misappropriation would not have occurred but for such use; or (iii) use of the Service in a manner not otherwise contemplated by this Agreement to the extent that the infringement or misappropriation would not have occurred but for such use.

Choice of Law

These Terms of Use shall be deemed to have been agreed to in the state of Washington. In any litigation arising out of these Terms of Use, the prevailing party shall be entitled to reasonable attorneys’ fees and costs.

Arbitration

  1. Remine and End User each agree to first contact each other with any disputes and provide a written description of the problem, all relevant documents or information and the proposed resolution. End User shall contact Remine with disputes at the address
provided in these Terms of Use or on the Remine Website. Remine will contact End User based on the contact information End User has provided to Remine.
  2. If the parties cannot resolve any dispute after 30 days, the party seeking to pursue a claim will submit the claim to arbitration consistent with this Section. The parties
understand that they would have had a right or opportunity to litigate disputes through a court and to have a judge or jury decide their case, but they choose to have any disputes resolved through arbitration.
  3. End User agrees that its use of this website constitutes a transaction in interstate commerce and that any claim or controversy arising out of or relating to the use of the Services or to any acts or omissions for which you may contend Remine is liable, including but not limited to any claim or controversy as to arbitrability (“Dispute”), shall be finally, and exclusively, settled by arbitration Pursuant to the Federal Arbitration Act, 9 U.S.C. § 1 Et seq. End Users’ rights and claims will be determined by neutral arbitrators and not a judge or jury.

The arbitration will be conducted in Bellingham, Washington. The arbitrator will be selected pursuant to the AAA rules. Should no AAA rule regarding the selection of an arbitrator be in effect, End User will select an arbitrator from a panel of arbitrators acceptable to Remine. In any arbitration, all costs of arbitration will be paid by the non-prevailing party. To begin the arbitration process, End User or Remine must make a written demand.

Any judgment upon the award rendered by the arbitrators may be entered in any court of competent jurisdiction. The arbitrators will not have the power to multiply actual damages or award consequential, punitive or exemplary damages, and each party irrevocably waives any claim thereto. The agreement to arbitrate will not be construed as an agreement to the joinder or consolidation of an arbitration under these Terms of Use with an arbitration of disputes or claims of any non-party, regardless of the nature of the issues or disputes involved.

Should a dispute arise, and should the arbitration provisions become inapplicable or unenforceable, you agree that jurisdiction over and venue of any suit will be exclusively in the state and federal courts sitting in Bellingham, Washington. If either party employs attorneys to enforce any right in connection with any dispute or lawsuit the prevailing party is entitled to recover reasonable attorneys’ fees.

  1. Either party may bring applicable claims in small claims court. Also, the parties agree that any arbitration will be solely between Remine and End User, not as part of a class wide claim.

No Class Actions

TO THE EXTENT ALLOWED BY LAW, EACH PARTY EACH WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASS WIDE BASIS; THAT IS, TO EITHER JOIN A CLAIM WITH THE CLAIM OF ANY OTHER PERSON OR ENTITY, OR ASSERT A CLAIM IN A REPRESENTATIVE CAPACITY ON BEHALF OF ANYONE ELSE IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING.

No Jury Trial

TO THE EXTENT ALLOWED BY LAW, EACH PARTY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING.

Injunction

End User acknowledges and agrees that a breach or violation of these Terms of Use will result in immediate and irreparable injury and harm to Remine and its licensors. In such event, Remine shall have, in addition to any and all remedies of law and other consequences under these Terms of Use, the right to an injunction, specific performance or other equitable relief to prevent violation of your obligation under these Terms of Use without any obligation to post a bond or other security, and End User expressly waives any obligation for the posting of any such bond or security; provided, however, that, this shall in no way limit any other remedies which Remine may have, including, without limitation, the right to seek monetary damages.

  6. End User acknowledges the risk that information and the End User Data stored and transmitted electronically through the Services may be intercepted by third parties. Only Remine, with strict business reasons, may access and transfer the End User Data and only to provide End User with the Service. Remine will make reasonable efforts to provide notice to End User prior to such access and transfer.
  7. Neither party may assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of the other party (which consent shall not be unreasonably withheld). Notwithstanding the foregoing, either party may assign this Agreement in its entirety without consent of the other party in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets provided the assignee has agreed to be bound by all of the terms of this Agreement. Any attempt by a party to assign its rights or obligations under this Agreement in breach of this Section shall be void and of no effect.
  8. This agreement shall be deemed as being jointly drafted and not construed in favor of or against any party.
  9. Severability. Except as otherwise provided herein, if any provision of this Agreement is found to be invalid, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect.
  10. Electronic Communications. For contractual purposes, End User (1) consents to receive communications from Remine in an electronic form; and (2) agrees that all terms and conditions, agreements, notices, disclosures, and other communications that Remine provides electronically satisfy any legal requirement that such communications would satisfy if they were in writing. This subparagraph does not affect End User’s statutory rights.
  11. End User agrees to receive email communication from Remine Platform Inc. Emails may contain content related training, support, add-ons/upgrades, affiliate product information, etc. End Users may opt-out of receiving email communications via the unsubscribe option in emails.
  12. Remine reserves all rights not expressly granted herein. Remine may modify these Terms of Use at any time by posting the revised Terms of Use on the Site. End User’s continued use of the Services shall constitute its acceptance of such revised Terms of Use. Remine may not assign any rights granted to it hereunder. Nothing in these Terms of Use shall constitute an employer/Employee relationship, partnership, agency or joint venture between any individual associated with End User or any Authorized User and Remine as a result of these Terms of Use or accessing or using the Service. Remine’s performance under these Terms of Use is subject to existing laws and legal process, and nothing contained in these Terms of Use is in derogation of Remine’s right to comply with governmental, court and law enforcement requests or requirements relating to your access or use of the Services or information provided to or gathered by Remine with respect to such use.
